E-SOX, Statutory Audit Directive

On 25 April 2006, the EU Council of Ministers (the Council) adopted the new directive on statutory audit of annual accounts and consolidated accounts – the Statutory Audit Directive.
 
It seeks to enhance confidence in the financial statements and annual reports published by companies across the EU. The Statutory Audit Directive aims to achieve its objective by strengthening the EU framework of standards and public oversight for the audit profession.
 
Accordingly, the Statutory Audit Directive replaces the Eighth Company Law Directive of 1984 (Directive 84/253/EC) and also amends the Fourth and Seventh Company Law Directives (Directives 78/660/EEC and 83/349/EEC) by introducing additional EU rules on the audit of company accounts.

The Company Reporting Directive amends the Fourth and Seventh Company Law Directives (Directives 78/660/EEC and 83/349/EEC) as well as the Bank Accounts Directive (Directive 86/635/EEC) and the Insurance Accounts Directive (Directive 91/674/EEC).
 
The directive aims to enhance confidence in financial statements and annual reports published by European companies. It seeks to do this by making financial reporting arrangements more transparent and requiring companies to publish information relevant to good corporate governance, while avoiding placing unnecessary burdens on business.
